Flight Centre Travel Group (FCTG) is looking for a commercial thinker to join the team as Legal Counsel – Europe, Middle East and Africa (EMEA).
You will report into the Regional General Counsel – EMEA and be part of a broader well-established global legal function (with lawyers in several countries across the business) and a key business partner to various stakeholders in the EMEA region.
This is a rare opportunity to join the EMEA regional legal function operating out of London and to meet the Group’s expanding requirements across the EMEA region.
About the role:
Working as Legal Counsel for the EMEA region, this role is fast paced and interesting.You will work across the various FCTG brands in the EMEA region which ensures your work will be varied. You will have direct access to key decision makers and build an understanding of FCTG’s positions on various issues and risk tolerance, allowing you to become a more commercially focused legal practitioner.
The key workstreams associated with this role are as follows (generally in order of importance/where your time will be spent most):
- Commercial contracting – Drafting (or reviewing, as applicable) and negotiating client contracts on FCTG or client paper for our various brands (e.g. FCM, FCM Meetings & Events and Corporate Traveller) for the provision of national/global travel management services and supply contracts with key suppliers (e.g. airlines, hotels, IT vendors, consultants, destination management companies and employee benefits providers). In addition to client/supply contracts, the commercial contracting work includes NDAs, term sheets, letters of intent, facility/loan documents with our lenders, issuing DocuSign envelopes (as appropriate) and may involve managing a contract management review tool (such as iCertis)
- Travel law/regulations – Advising the business on key travel law matters such as the travel regulations (Package Travel Regulations, ATOL Regulations and IATA Travel Agent’s handbook), working closely with our Risk and Compliance team
- Competition and consumer law – Drafting terms and conditions for our consumer facing brands (such as our Flight Centre and Scott Dunn brands) and providing advice on competition and consumer law issues (including review of marketing and promotional content and advising on the CAP Code)
- Corporate and company secretarial – Assisting with corporate and company secretarial activities (mostly at a group level) such as drafting intercompany loan agreements, corporate authorisations (board and shareholder minutes or written resolutions), articles of association (or amendments to them), share certificates, release documents, assignments, novations, notices, corporate registers (including updating corporate registers) and attending to filings with Companies House
- Litigation management and advice – Advising the Board and key stakeholders on client disputes and negotiating with dispute counterparties, including instructing external counsel where required. This work includes conducting contractual interpretation, analysing risks and providing options analysis to the Board
- Privacy, Data Protection and Security – Assisting our Data Protection and Client Information Security teams with handling data breaches and mitigating our privacy and data risks through appropriate contractual protections
- Employment law – Assisting our Peopleworks team (Human Resources) with specific employment law queries, including assignment of intellectual property rights created during FCTG run competitions (e.g. hackathons), TUPE and equality queries
- Process improvement – Drafting precedents, contract ‘playbooks’ and training our commercial facing teams on how to use our standard documentation to drive efficiency across the EMEA Legal function and our EMEA business generally
- Reorganisations/amalgamations – Drafting corporate documentation for intra-group reorganisations and amalgamations and managing intra-group processes
Key Competencies, Skills and Qualifications
- Newly qualified to 3 years’ experience
- Demonstrated experience across commercial contracting ideally with training within a specialist commercial team in a well-regarded law firm or relevant in-house experience (secondment experience will be considered sufficient) plus other key workstreams listed above. Please note we do not expect you to have experience in all areas listed but commercial contracting experience is necessary to be considered
- Demonstrated experience managing multiple workstreams and competing priorities
- Commercially savvy and pragmatic thinker, with a non "black letter" approach
- Problem solving and analysis skills
- Degree and practicing certificate essential
Preferred qualifications
- England and Wales qualified preferred - However, candidates qualified in other common law jurisdictions will be considered
- Travel law experience preferred but not mandatory
- For candidates in private practice, experience in specialist teams such as M&A/Corporate, Finance and/or Competition and Consumer law is preferred
